Terms of Service for North Haven Wellness Studio

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, website, booking systems, communications, and related offerings provided by North Haven Wellness Studio, located at 2145 Yonge Street, Toronto, ON M4S 2A7, Canada (“North Haven Wellness Studio,” “we,” “us,” or “our”).

By booking, attending, purchasing, accessing, or otherwise using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein. If you do not agree to these Terms, you must not use our services.

• Private Wellness Consultations

Our services are intended for general wellness, relaxation, education, and personal development purposes only. They are not a substitute for medical diagnosis, treatment, psychotherapy, physiotherapy, or emergency care.

Certain services may be delivered by independent practitioners, contractors, or licensed professionals. Where applicable, you are responsible for confirming that a service is appropriate for your personal circumstances, including any health conditions, injuries, allergies, sensitivities, pregnancy, or other contraindications.

3. User Obligations and Responsibilities

By using our services, you agree to:

• Provide accurate, current, and complete information when booking or communicating with us;
• Disclose relevant health information, injuries, allergies, sensitivities, medications, pregnancy status, or other conditions that may affect your participation;
• Follow all studio rules, safety instructions, practitioner guidance, and posted policies;
• Use our facilities and services in a respectful manner and not engage in disruptive, abusive, harassing, discriminatory, or unsafe conduct;
• Arrive on time for appointments and classes and comply with any check-in or intake procedures;
• Refrain from attending if you are ill, contagious, or otherwise unable to participate safely;
• Not use our services while under the influence of alcohol, recreational drugs, or any substance that may impair judgment or safety;
• Respect the privacy, personal space, and confidentiality of other clients and staff;
• Comply with all applicable federal, provincial, and municipal laws and regulations.

You are solely responsible for determining whether participation in any service is suitable for you. If you have a medical condition or concern, you should consult a qualified healthcare professional before participating.

4. Payment Terms and Conditions

Fees for services, memberships, packages, workshops, and other offerings will be disclosed at the time of booking, purchase, or registration, and may be updated from time to time.

• All prices are stated in Canadian dollars unless otherwise indicated.
• Payment is due at the time of booking, purchase, or as otherwise specified by us.
• We may require a valid credit card, debit card, deposit, or prepayment to secure certain appointments or reservations.
• You authorize us and our payment processors to charge the applicable fees, taxes, and any authorized charges associated with your purchase.
• Applicable taxes, including HST, may be added where required by law.
• We reserve the right to refuse, cancel, or limit any order or booking where payment is declined, suspected to be fraudulent, or otherwise inconsistent with these Terms.

If a payment is reversed, charged back, or disputed without valid basis, you may be responsible for any associated fees, administrative costs, and reasonable collection expenses to the extent permitted by law.

5. Cancellation and Refund Policy

Cancellations and refunds are subject to the following conditions, unless a different policy is expressly stated for a specific service, package, or promotion:

• Classes and group sessions: Cancellations made within the permitted cancellation window may be eligible for a credit or rescheduling, subject to availability.
• Private appointments: Late cancellations or no-shows may be charged in full or in part, as disclosed at booking.
• Workshops and special events: These may be non-refundable or subject to a separate cancellation policy.
• Packages and memberships: Refunds, if any, may be prorated or limited according to the terms of the specific package or membership purchased.

Unless otherwise required by applicable law, all refunds are issued at our discretion in accordance with the applicable service-specific policy. Administrative fees, processing fees, and non-refundable deposits may be retained where permitted by law.

We reserve the right to cancel, reschedule, or modify services due to low attendance, staff availability, safety concerns, facility issues, or other operational reasons. In such cases, we may offer a reschedule, credit, or refund, as appropriate and required by law.

6. Liability Limitations

To the fullest extent permitted by applicable law, North Haven Wellness Studio, its owners, directors, officers, employees, contractors, practitioners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of data, loss of goodwill, or business interruption arising out of or related to your use of our services.

You acknowledge that participation in wellness activities may involve inherent risks, including but not limited to physical strain, injury, allergic reactions, emotional discomfort, or aggravation of pre-existing conditions. You voluntarily assume all such risks to the fullest extent permitted by law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for gross negligence, wilful misconduct, or any other liability that cannot lawfully be excluded under applicable Canadian law.

Our total aggregate liability for any claim arising out of or relating to the services shall be limited to the amount paid by you for the specific service giving rise to the claim, to the extent permitted by law.

7. Intellectual Property Rights

All content, materials, designs, logos, text, graphics, photographs, videos, audio recordings, class formats, written materials, training content, and other intellectual property made available by North Haven Wellness Studio are owned by or licensed to us and are protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, publish, transmit, display, perform, sell, license, or create derivative works from our intellectual property without our prior written consent, except as expressly permitted by law.

Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation, to the extent permitted by law.

In the event of force majeure, we may suspend, postpone, modify, or cancel services without liability to the extent such action is reasonably necessary. Where appropriate, we may offer rescheduling, credit, or refund options in accordance with applicable law and our policies.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, legal requirements, operational practices, or other considerations. The updated Terms will be effective upon posting or on the effective date stated in the revised version, whichever is later.

Your continued use of our services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, or to your use of our services, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory consumer protection laws or other non-waivable rights, you agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any legal proceeding arising from or relating to these Terms or our services.

13. Severability Clause

The failure of North Haven Wellness Studio to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless expressly stated in writing.
